Technology Submission Agreement

In order to submit your idea ("Submitted Information"), you need to agree to the following conditions:

1. I am making this submission on a non-confidential basis. Accordingly, I understand and agree that Nestlé (i.e. Nestec Ltd. and any affiliate company of the Nestlé Group) shall not have any confidentiality obligation whatsoever toward me or any third party regarding the Submitted Information, and that Nestlé shall be free to disclose such Submitted Information to any third party. In addition:
   1. If the Submitted Information is not covered by any patent application, provisional patent application, or patent, I understand and agree that Nestlé shall be free to use the Submitted Information for any purposes, and that I shall not have any claim or right over the Submitted Information.
   2. If the Submitted Information is covered by a published or unpublished patent application or a provisional patent application, I understand and agree that Nestlé shall be free to use the Submitted Information for evaluation purposes. For any other purposes, I shall rely exclusively on rights provided under the patent laws of the countries in which said patent applications were filed, which shall represent the sole means of protecting my interests in the Submitted Information.
   3. If the Submitted Information is covered by an issued patent, I understand and agree that Nestlé shall be free to use the Submitted Information for evaluation purposes. For any other purposes, I shall rely exclusively on rights provided under the patent laws of the countries in which said patent issued, which shall represent the sole means of protecting my interests in the Submitted Information.
2. I understand and agree that if I intend to submit information on a confidential basis, I must not use this Technology Submission Agreement. I must first negotiate a separate written confidentiality agreement with Nestlé.
3. I represent and agree that to the best of my knowledge, I am the exclusive owner of the Submitted Information, and that I have the right to submit, disclose and use the Submitted Information for any purposes.
4. I understand and agree that Nestlé has no obligation to adopt the Submitted Information, and has no obligation to compensate me. In addition, Nestlé has no obligation to report on the reasons of its interest, or of its lack of interest, in the Submitted Information. Nestlé may retain any Submitted Information, and shall have no obligation to return to me any material or Submitted Information.
5. I understand and agree that any personal data (such as contact information) that I may supply in the context of this submission will be primarily processed in Switzerland and may be used, stored, transferred and processed by Nestlé for the purposes of evaluating the Submitted Information. I also agree and consent that such personal data may also be transferred in another country to another company of the Nestlé Group, for the same evaluation purposes.
6. This Technology Submission Agreement constitutes the entire agreement between Nestlé and me regarding the Submitted Information.
7. I represent that I am at least 18 years old, and that I have the entire legal capacity to enter this Technology Submission Agreement.
8. This Technology Submission Agreement shall be governed by the law of Switzerland, without giving effect to any choice of law or conflict of law rules. Any dispute shall be exclusively submitted to the jurisdiction of the competent courts of Switzerland.

I have understood the conditions set forth and agree to those terms.
